By placing an order or using the MedOfficeDirect website, you agree to the following Terms & Conditions. These Terms & Conditions apply unless superseded by a separate written agreement signed by MedOfficeDirect.
1. Price Policy
We strive to maintain published prices throughout the duration of each catalog. However, prices are subject to change without prior notice due to manufacturer price increases, supply chain fluctuations, supplier changes, or other extraordinary circumstances.
By placing an order, the customer acknowledges and accepts these Terms & Conditions.
2. Payment Terms
Accepted payment methods include credit cards and debit cards, including American Express, Visa, MasterCard, Discover, and other payment methods made available through the MedOfficeDirect website.
All sales are subject to credit approval. Payment is due according to the payment terms agreed upon at the time of purchase or as otherwise approved by MedOfficeDirect.
Past-due balances may incur a 1.5% monthly finance charge or the maximum amount allowed by law, whichever is lower.
3. Delivery Terms
Shipping Point: FOB Shipper’s Dock, or Ex Works outside North America, unless otherwise stated in writing. Title transfers to the buyer when the shipment is loaded, except where applicable law requires otherwise.
Standard Shipping: Handling charges may include freight. Additional fees may apply for special deliveries, expedited shipping, oversized items, hazardous materials, or other special handling requirements.
Alaska & Hawaii: Reduced-cost expedited air delivery may be available; surcharges may apply for special services.
Pacific Protectorates: Direct surface or postal delivery may be available where supported.
Hazardous Materials: Hazardous materials may be shipped only where legally permissible and may require special shipping methods, including UPS 2nd-Day Air or another approved carrier method.
Risk of Loss: Once a shipment is confirmed as delivered by the carrier, MedOfficeDirect is not responsible for loss, theft, or damage that occurs after delivery. Customers are encouraged to provide a secure delivery location.
4. RX Products & Controlled Substances
Sales of prescription products are limited to licensed healthcare professionals and other authorized purchasers as permitted by applicable law.
To purchase RX products, customers must first apply as a verified medical provider and submit the appropriate license or documentation for approval.
Approval Timeline: Applications are typically reviewed within 1–7 business days, depending on the completeness of the submitted information and verification requirements.
Additional requirements may apply for controlled substances:
DEA Registration: Required for all controlled substance purchases where applicable.
Schedule II Orders: May be placed electronically or by mail where legally permitted.
CSOS Assistance: For help with the Controlled Substance Ordering System, customers may call 800.982.8566.
MedOfficeDirect reserves the right to refuse, cancel, delay, or restrict any order involving RX products, controlled substances, or regulated products if verification is incomplete, invalid, expired, inconsistent, or otherwise insufficient.
5. Regulatory Compliance
Customers must comply with all federal, state, and local regulations regarding the purchase, use, storage, distribution, and resale of products purchased from MedOfficeDirect.
Customers are responsible for maintaining all required licenses, registrations, permits, records, and documentation required by law.
Discounts, rebates, or other price concessions may require reporting under government programs. Customers are responsible for determining and fulfilling any reporting obligations required by applicable law.
6. Returns & Exchanges
Authorization Required: No returns will be accepted without prior approval and a valid Return Goods Authorization.
General Return Conditions
Returns must include the invoice number and reason for return.
Items must be unopened, unmarked, unused, and returned within 30 days of receipt.
Late returns may incur a restocking fee.
The customer is responsible for return shipping charges unless the return is due to a MedOfficeDirect error.
Shortages, shipping errors, or damage must be reported within 7 days of receipt.
Non-Returnable Items
The following items are non-returnable:

Opened software or hardware

Expired products

Products that have been opened, used, tampered with, relabeled, marked, damaged, or otherwise made unsuitable for resale

Any other item designated as non-returnable by MedOfficeDirect, the manufacturer, supplier, or applicable law
Equipment Returns
Equipment must be unopened, unmarked, unused, and in original packaging.
Special-order equipment is non-returnable.
All equipment returns may be subject to a restocking fee. Manufacturer warranties apply where available.
Prescription Drugs
Wholesale-purchased drugs are non-returnable.
Manufacturer-purchased drugs may be returned only for shipping errors if reported within 14 days and authorized in advance.
Products that are tampered with, expired, relabeled, opened, or otherwise unsuitable for resale will not be accepted.
7. Warranties
MedOfficeDirect provides no express or implied warranties regarding products sold through the website, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
All product warranties, if any, are provided solely by the product manufacturer. Customers should refer to the applicable manufacturer warranty for warranty coverage, limitations, and claim procedures.
8. Limitation of Liability
All product-related claims should be directed to the manufacturer where applicable.
To the fullest extent permitted by law, MedOfficeDirect shall not be liable for any indirect, incidental, punitive, special, exemplary, or consequential damages, including loss of profits, loss of data, loss of goodwill, business interruption, substitute goods, or other commercial damages.
MedOfficeDirect’s maximum liability for any claim arising from or related to a product, order, service, website use, or these Terms & Conditions shall be limited to the purchase price paid by the customer for the specific product or service giving rise to the claim.
9. Force Majeure
MedOfficeDirect shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, pandemics, labor disputes, strikes, embargoes, acts of terrorism, wars, civil disturbances, government actions, supplier delays, manufacturer delays, supply chain disruptions, carrier delays, transportation delays, shortages, power outages, cyber incidents, or other events outside MedOfficeDirect’s reasonable control.
In such cases, performance obligations may be suspended for the duration of the event, and MedOfficeDirect will make reasonable efforts to resume fulfillment as soon as reasonably possible.
10. Website, Account Terms, and Acceptable Use
Use of the MedOfficeDirect website constitutes acceptance of these Terms & Conditions.
Customers are responsible for safeguarding login credentials and account security. Customers agree to provide accurate, current, and complete account, billing, shipping, licensing, prescription, DEA, and professional verification information when placing orders or using the website.
Customers may use the MedOfficeDirect website only for lawful business and purchasing purposes. Customers agree not to:

MedOfficeDirect reserves the right to restrict, suspend, or terminate access to the website, cancel orders, refuse service, remove or disable accounts, report suspected unlawful activity, and pursue any available legal or equitable remedies if a customer violates these Terms & Conditions, provides false information, misuses the website, or attempts to purchase restricted products without proper authorization.
11. Intellectual Property Rights
All content on the MedOfficeDirect website, including but not limited to text, product information, graphics, logos, icons, images, page layouts, software, design elements, trademarks, service marks, trade names, and other materials, is owned by MedOfficeDirect, its affiliates, suppliers, manufacturers, licensors, or other authorized content providers and is protected by copyright, trademark, and other intellectual property laws.
Customers may access and use website content only for lawful purchasing, account management, and informational purposes related to MedOfficeDirect products and services.
No website content may be copied, reproduced, modified, distributed, displayed, transmitted, published, sold, scraped, downloaded in bulk, reverse engineered, used to create competing materials, or otherwise exploited without prior written permission from MedOfficeDirect or the applicable rights holder.
All trademarks, product names, manufacturer names, logos, and brands appearing on the website remain the property of their respective owners. Use of any third-party names, trademarks, or product information does not imply endorsement unless expressly stated.
12. Dispute Resolution, Governing Law, and Venue

These Terms & Conditions and any dispute arising from or related to the MedOfficeDirect website, products, orders, services, customer accounts, or these Terms & Conditions shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.
Venue and jurisdiction for any disputes shall lie exclusively in Collier County, Florida, unless otherwise required by applicable law or superseded by a separate written agreement signed by MedOfficeDirect.
Customers agree that any claim must be brought individually and not as part of a class action, collective action, private attorney general action, or other representative proceeding, to the extent permitted by applicable law.
Nothing in this section limits MedOfficeDirect’s right to seek injunctive or equitable relief for misuse of the website, intellectual property violations, fraud, unauthorized access, non-payment, or unlawful activity.
13. Indemnification
Users agree to indemnify, defend, and hold harmless MedOfficeDirect, its affiliates, officers, directors, employees, agents, suppliers, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising from or related to misuse of products, violation of these Terms & Conditions, violation of applicable laws, unauthorized use of the website, false information submitted to MedOfficeDirect, or misuse of regulated products.
14. Severability
If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

MedOfficeDirect reserves the right to update or modify these Terms & Conditions at any time without prior notice. The most current version will be posted on the MedOfficeDirect website, and continued use of the website, services, or ordering system constitutes acceptance of the updated Terms & Conditions.
